All customers of 14090225 Canada Inc. and visitors to RushCycle (www.rushcycle.ca) (the "Website") are subject to the Terms and Conditions set out below.

Welcome to the website of RushCycle Canada - 14090225 Canada Inc. (the "Company", "we", "us" or "RushCycle"). The following terms and conditions (these "Terms"), together with our Privacy Policy and our Studio Policies, govern your access to and use of our website, www.rushcycle.ca (the "Website"), including any content, functionality, class booking and services offered on or through the Website.

Please read these Terms, the Privacy Policy and the Studio Policies carefully before you start to use the Website. By using the Website, you accept and agree to be bound by these Terms, our Privacy Policy and our Studio Policies (collectively, the "Agreement"). If you do not agree to the Agreement, you must not access or use the Website.

The Website is offered and available to users who reside in Canada and who are the age of majority in their province or territory of residence (18 years of age in Quebec). If you are a minor, you may use the Website only with the involvement and consent of a parent or legal guardian. By using this Website, you represent and warrant that you meet these eligibility requirements. If you do not, you must not access or use the Website.

These Terms permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website, except that:

  • Your device may temporarily store copies of materials in memory incidental to your accessing and viewing those materials.

  • You may store files that are automatically cached by your web browser for display enhancement purposes.

  • You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication or distribution.

  • If we provide applications for download, you may download a single copy to your device solely for your own personal, non-commercial use, provided you agree to be bound by our end user licence agreement for such applications.

The Company name, the "RushCycle" name and logo, and all related names, logos, product and service names, designs and slogans are trademarks of the Company or its affiliates or licensors. You must not use these marks without our prior written permission. All other names, logos, product and service names, designs and slogans on this Website are the trademarks of their respective owners.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website:

  • In any way that violates any applicable federal, provincial, territorial, municipal or international law or regulation.

  • For the purpose of exploiting, harming or attempting to exploit or harm minors in any way.

  • To send or procure the sending of any advertising or promotional material without our prior written consent, including any "junk mail", "chain letter", "spam" or similar solicitation.

  • To impersonate or attempt to impersonate the Company, a Company employee, another user or any other person or entity.

  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or that, as determined by us, may harm the Company or users of the Website or expose them to liability.

  • Remove or refuse to post any User Contributions at our discretion.

  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, subject to applicable privacy law.

  • Take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Website.

  • Terminate or suspend your access to all or part of the Website at any time, including for any violation of these Terms.

We do not undertake to review all material before it is posted and cannot ensure prompt removal of objectionable material after it has been posted. We assume no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party.

Content Standards

These content standards apply to all User Contributions. User Contributions must comply with all applicable laws and must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable.

  • Promote sexually explicit material, violence, or discrimination based on race, sex, gender, religion, nationality, disability, sexual orientation or age.

  • Infringe any patent, trademark, trade secret, copyright or other right of any other person.

  • Violate the legal rights (including rights of privacy and publicity) of others, or give rise to any civil or criminal liability under applicable law.

  • Be likely to deceive any person, or promote or assist any unlawful act.

  • Impersonate any person or misrepresent your identity or affiliation.

  • Give the impression that they come from or are endorsed by us, if that is not the case.

Health, Physical Activity and Assumption of Risk

Indoor cycling and the other fitness activities offered by RushCycle are strenuous physical activities. Information on the Website about classes, training or fitness is provided for general information only and is not medical advice. You should consult a physician before beginning any exercise program, and you participate at your own risk. Participation in classes at a studio is subject to a separate waiver, release and assumption of risk that you may be required to sign, and to our Studio Policies. Nothing on the Website replaces the advice of a qualified health professional.

Bookings, Memberships and Purchases

Class bookings, memberships, class packs and other purchases made through or in connection with the Website are governed by our Studio Policies and by the membership or purchase agreement between you and RushCycle, if any, each of which is incorporated into these Terms. Class scheduling, booking and payment may be processed through a third-party provider (for example, Mariana Tek), whose own terms may also apply. Late arrival, cancellation, refund, freeze and expiry rules are set out in the Studio Policies. Nothing in these Terms limits any right you may have as a consumer under the Consumer Protection Act (Quebec) or other applicable consumer protection law.

Information About You and Your Visits to the Website

All information we collect on this Website is subject to our Privacy Policy, which describes how we handle personal information in accordance with applicable Canadian privacy law, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, in Quebec, the Act respecting the protection of personal information in the private sector. By using the Website, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Governing Law and Jurisdiction

All matters relating to the Website and these Terms, and any dispute or claim arising from or related to them (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable in that province, without giving effect to any choice or conflict of law provision.

Any legal action or proceeding arising out of or related to these Terms or the Website shall be brought exclusively in the courts of the Province of Quebec, in the judicial district of Montreal, and you consent to the jurisdiction of those courts. This clause does not deprive you of any protection or right of recourse available to you as a consumer under applicable law.

Limitation on Time to File Claims

To the extent permitted by applicable law, any cause of action or claim you may have arising out of or relating to these Terms or the Website must be commenced within the period prescribed by applicable law. Where a shorter contractual period is permitted, any such claim must be commenced within one (1) year after the cause of action accrues. This clause does not shorten any prescriptive period that cannot be reduced by agreement under the Civil Code of Quebec or other applicable law.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of that term or condition or of any other term or condition, and any failure by the Company to assert a right or provision under these Terms shall not constitute a waiver of that right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.

These Terms, together with our Privacy Policy, our Studio Policies and your membership or purchase agreement with RushCycle Canada, if any, constitute the entire agreement between you and the Company with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, whether written or oral, with respect to the Website.
